Terms of Use — A→Z+1 Client Portal
1. Scope
These Terms govern use of the A→Z+1 client portal at portal.growis.ch (the "Portal"), operated by Growis AG, Lucerne, Switzerland. The Portal supplements — and does not replace — the service agreement between Growis and the client company ("Client"). In case of conflict, the service agreement prevails.
2. Accounts and access
Access is invite-only. Accounts are personal and may not be shared. Users must keep authentication factors (e-mail account, authenticator app, passkeys) secure and notify Growis immediately of suspected compromise. The Client is responsible for the actions of the users it asks Growis to invite, including external collaborators. Growis may suspend accounts for security reasons.
3. Roles
- Client admin / member: full workspace access; may approve deliverables and request changes.
- Collaborator: may view, comment, and complete forms; may not approve deliverables or request changes.
- Growis staff: access to all workspaces for the purpose of delivering the services, under two-factor authentication.
4. Electronic approvals and signatures
The Portal provides an approval workflow for deliverables. The parties agree that approvals executed in the Portal or via e-mailed approval links — recording the approver's typed full name, timestamp, IP address, and device — constitute valid and binding simple electronic signatures for the purpose of accepting deliverables, and that the Portal's audit log is admissible evidence of such approvals. 5. Client content
The Client retains all rights to content it uploads or approves. The Client grants Growis the rights needed to operate the Portal and deliver the services (hosting, processing, backup, display to authorized users, AI-assisted processing per the Privacy Policy). The Client warrants it has the necessary rights to the content it provides.
6. AI features
The Portal includes clearly labeled AI features (assistant, drafting). AI output may be inaccurate; it is provided as working material, reviewed by Growis before submission for approval, and the Client reviews before use. AI interactions are subject to fair-use limits [currently 10 requests per user per month] which Growis may adjust with notice.
7. Acceptable use
No unlawful content, malware, attempts to breach isolation between workspaces, automated scraping, or interference with the service. Upload scanning may reject files (executables, macro documents, scripted content).
8. Availability
Growis aims for high availability but the Portal is provided without an uptime guarantee [unless an SLA exists in the service agreement]. Scheduled maintenance will be announced when feasible.
9. Data protection
Processing of personal data is described in the Portal Privacy Policy and governed by the Data Processing Agreement between Growis and the Client.
10. Offboarding
At the end of the engagement, the Client may request a complete export of its workspace (data-room export). [Default: workspace deletion 90 days after contract end — align with DPA.]
11. Liability
[Standard Swiss limitation-of-liability clause — lawyer to draft; exclude indirect damages, cap at fees paid, carve-outs for gross negligence/intent per OR 100.]
12. Governing law and forum
Swiss law; exclusive place of jurisdiction [Lucerne], Switzerland.
Open points for the lawyer: entity name; e-signature clause; liability cap; interplay with the master service agreement; whether collaborators (third parties invited by the Client) need their own click-through acceptance.
